Andrews & Springer LLC filed a stockholder class action against the directors of Intersections, Inc. (“Intersections") in connection with its going-private merger with joint venture WC SACD One, Inc. ("WC SACD"). The case was filed in the Delaware Court of Chancery.

The complaint alleges that Intersections' Board of Directors breached their fiduciary duties by, among other things (i) agreeing to the terms of the going-private merger, which will result in an unfair price for the Company’s minority stockholders, (ii) undermining the legitimacy of the majority-of-the-minority voting condition and coercing stockholders into supporting the unfair merger, and (iii) failing to adequately explore financing alternatives that would have prevented the Company’s public stockholders from being cashed-out of their investment before the full release of Identity Guard® with Watson™.
